Terms and Conditions

These terms govern use of the Christian Impact Media corporate website and the private Investor Area currently operated by Christian Impact Media, Inc.

Acceptance and scope

These Terms and Conditions (the “Terms”) are a binding agreement between you and Christian Impact Media, Inc., a Delaware corporation (“CIM,” “we,” “us” or “our”). They apply when you access or use christianimpactmedia.com, any page operated as part of that website, and the private Investor Area (collectively, the “Site”).

By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site. Additional written terms may apply to a specific relationship, transaction, document, service or investor process. If those additional terms conflict with these Terms, the more specific written terms control for that subject.

These Terms apply only to the Site in its current form. The future King Teleos customer website, app, memberships, subscriptions, rewards, purchases, parent or child accounts, community features and other consumer services will require separate or updated terms before launch.

Current services

The public Site provides corporate, creative, portfolio and investor information about CIM and its intellectual-property development activities. The private Investor Area provides approved users with access to confidential or commercially sensitive materials selected by CIM.

Visitors may review corporate and project information and contact CIM through the available enquiry routes.

Investor evaluation

Authorized adults may review and download materials made available for a potential or existing investor relationship.

NOT YET LAUNCHED

King Teleos consumer services

The public app, customer accounts, rewards, subscriptions, ecommerce and child-facing data services are outside the current Terms.

CIM may update, suspend, withdraw or change any Site feature, page or document at any time.

Information on the Site is provided for general informational purposes. It does not create an agency, partnership, employment, fiduciary or professional-adviser relationship between you and CIM.

Eligibility and accounts

You may use the public Site only if you can lawfully agree to these Terms. The Investor Area is limited to adults who have been individually authorized by CIM. CIM creates or enables investor accounts manually; there is no public registration or automatic approval process.

You must provide accurate account information, protect your credentials, use reasonable security precautions and promptly notify CIM if you suspect unauthorized access. An account is personal to the authorized user and may not be shared, transferred or used to provide access to another person.

CIM may require password changes, additional verification or other security measures. You are responsible for activity occurring through your account to the extent caused by your failure to protect it.

Investor Area and confidential materials

Investor Area access is granted solely for the authorized recipient to evaluate, administer or support a potential or existing relationship with CIM. Unless CIM clearly marks material as public, you must treat Investor Area content and downloaded documents as confidential.

  • Use the materials only for the purpose for which CIM supplied them.
  • Do not forward, publish, reproduce, quote, distribute or make the materials available to another person without CIM’s prior written permission.
  • Do not share account credentials or use another person’s account.
  • Use reasonable measures to protect downloaded files from unauthorized access.
  • Delete or return materials when CIM requests it, subject to legal or professional recordkeeping duties.

Access to the Investor Area does not transfer ownership of any document or intellectual property. A separate nondisclosure agreement, investment agreement, subscription document, data-room agreement or other written instrument may impose additional obligations and will control where it is more specific.

Nothing on the public Site or in the Investor Area, standing alone, constitutes an offer to sell or a solicitation of an offer to buy securities. Any offering may be made only through definitive documents, to eligible persons, and in compliance with applicable securities laws. You should conduct your own due diligence and obtain independent legal, tax, accounting and financial advice.

Intellectual property

The Site and its contents, including text, stories, characters, artwork, illustrations, photographs, video, audio, graphics, logos, names, taglines, designs, interfaces, documents, downloads, software, code, concepts, worldbuilding and compilation or arrangement, are owned by CIM, its licensors or other rights holders and are protected by applicable intellectual-property and unfair-competition laws.

Christian Impact Media, CIM, King Teleos, related project names, logos, characters, visual identities and source identifiers may be trademarks, service marks or protected trade dress of CIM or its licensors. No license to use them is granted except as expressly stated in these Terms.

Third-party names, marks and content remain the property of their respective owners. Their appearance does not imply endorsement, sponsorship or affiliation unless expressly stated.

Limited license and permitted use

Subject to these Terms, CIM grants you a limited, revocable, nonexclusive, nontransferable and nonsublicensable license to access and use the Site for lawful personal, informational or internal business purposes.

You may print or save a reasonable number of public pages for your own reference, provided you retain notices and do not alter the content. Authorized investors may download documents made available through the Investor Area only for the confidential evaluation or relationship purpose described above.

No other right is granted by implication, estoppel or otherwise. All rights not expressly granted are reserved.

Prohibited conduct

You must not:

  • copy, republish, sell, license or commercially exploit Site content without permission;
  • remove ownership, copyright, trademark, confidentiality or security notices;
  • scrape, harvest, crawl or use automated systems to extract content or data except through ordinary search-engine indexing authorized by CIM;
  • reverse engineer, probe, bypass or interfere with access controls or security;
  • upload or transmit malicious code, spam or disruptive material;
  • impersonate another person or misrepresent an affiliation;
  • use Site content or confidential materials to train, fine-tune, evaluate or supply an artificial-intelligence model without CIM’s written permission;
  • infringe intellectual-property, privacy, publicity or other rights;
  • use the Site for unlawful, fraudulent, misleading, threatening or abusive activity; or
  • assist another person in doing any prohibited act.

Communications and submissions

When you contact CIM, you represent that the information you provide is accurate, lawful and yours to provide. You grant CIM a limited right to use the communication and any accompanying material as reasonably necessary to receive, review, respond to and retain the enquiry, subject to the Privacy Policy and any applicable written confidentiality agreement.

Do not send confidential, proprietary or commercially sensitive creative ideas, manuscripts, concepts, artwork or other materials unless CIM has requested them and appropriate written arrangements are in place. Except for personal information handled under the Privacy Policy and information covered by an express written confidentiality obligation, unsolicited submissions may not be treated as confidential.

CIM is not required to review, respond to, return or preserve an unsolicited submission. You retain ownership of material you own; merely contacting CIM does not transfer ownership to CIM.

Third-party links and services

The Site may link to or rely on third-party websites, hosting providers, email systems, social-media platforms, document tools, fonts, analytics, security services or other technology. Third parties operate under their own terms and privacy practices. CIM does not control and is not responsible for their availability, content, security or conduct.

A link does not necessarily constitute endorsement. You use third-party services at your own discretion and should review the applicable terms and policies.

Disclaimers and forward-looking information

To the maximum extent permitted by law, the Site is provided on an “as is” and “as available” basis. CIM disclaims express, implied and statutory warranties, including warranties of accuracy, completeness, availability, merchantability, fitness for a particular purpose, title, noninfringement and freedom from harmful components.

CIM does not promise that the Site, an account, a download or any content will always be available, uninterrupted, current, complete or error-free. Historical, estimated, illustrative, strategic or forward-looking information may change and involves assumptions, uncertainties and risks. Actual events and results may differ materially.

Site content is not legal, tax, accounting, investment, financial, medical or other professional advice. Investor materials do not replace independent investigation or the definitive agreements governing an investment or commercial relationship.

Limitation of liability

To the maximum extent permitted by law, CIM and its directors, officers, employees, contractors, agents, affiliates, licensors and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, opportunity, goodwill, data or use, arising from or related to the Site, even if advised that such loss may occur.

To the maximum extent permitted by law, the total aggregate liability of CIM and those related parties for all claims arising from or relating to the Site will not exceed the greater of $100 or the amount you paid directly to CIM specifically for use of the Site during the 12 months before the event giving rise to the claim.

These limitations do not exclude or limit liability that cannot lawfully be excluded or limited. Some jurisdictions do not permit certain exclusions, so parts of this section may not apply to you.

Indemnification, suspension and termination

To the extent permitted by law, you agree to defend, indemnify and hold harmless CIM and its directors, officers, employees, contractors, agents and affiliates from third-party claims, losses, liabilities, costs and reasonable legal fees arising from your unlawful use of the Site, breach of these Terms, misuse or unauthorized distribution of confidential materials, or infringement of another person’s rights.

CIM may investigate suspected violations and may restrict, suspend or terminate access, remove content, invalidate download links, preserve records or take other reasonable protective action. CIM may terminate Investor Area access at any time, including when the relevant relationship or evaluation ends.

Provisions that by their nature should continue after termination will survive, including confidentiality, intellectual property, disclaimers, limitations, indemnification and dispute provisions.

Governing law, changes and contact

These Terms and disputes relating to them or the Site are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-laws principles. Subject to any mandatory law that gives you another forum, the state and federal courts located in Delaware will have exclusive jurisdiction. Before filing a claim, the parties should make a reasonable good-faith effort to resolve the matter informally.

If a provision is found unenforceable, it will be enforced to the greatest lawful extent and the remaining provisions will continue. CIM’s failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without CIM’s written consent. CIM may assign these Terms in connection with a reorganization, financing, merger, acquisition, asset transfer or similar transaction.

CIM may update these Terms as the Site, law or operations change. The revised version will be posted here with a new “Last updated” date. Material changes will apply prospectively unless law requires otherwise. Continued use after an update means you accept the revised Terms.
